Terms of Use

1. Introduction

Welcome to RaceKit, a free web platform owned and operated by Gili Software OPC (“we,” “us,” or “our”). By accessing or using RaceKit (available at racekit.org), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use RaceKit.

2. Description of Service

RaceKit is a publicly accessible website that aggregates running event data from various public sources. We do not require user registration or authentication, nor do we host any user-generated content. Our goal is simply to make it easier for runners to discover upcoming races in Cebu Province, Philippines, by collecting publicly available details (event names, dates, locations, routes, fees, etc.) and presenting them in one place.

3. Eligibility

You may use RaceKit only if you are at least 13 years old or have the permission of a parent or guardian to do so. By using RaceKit, you represent and warrant that you are at least 13 years of age.

4. No User Accounts & No User Content

RaceKit does not require you to create an account or sign in.

RaceKit does not accept or host any content that users upload. All event information comes from publicly available sources (event organizer websites, Facebook pages, etc.).

Because there is no account or user-generated content system, sections that typically govern user submissions, uploads, or comments do not apply.

5. Ownership & Intellectual Property

All content on RaceKit—its layout, text, logos, images, design, and code—is owned by Gili Software OPC or used under license and is protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in or to RaceKit’s content beyond a limited license to view and use RaceKit in compliance with these Terms.

You agree not to reproduce, distribute, modify, or create derivative works of any RaceKit content without prior written permission from Gili Software OPC.

6. Use of Aggregate Event Data & Disclaimer

RaceKit aggregates running-event details from various publicly accessible sources. We make no guarantees about the accuracy, completeness, or timeliness of any event listing. Events may change or be canceled by organizers without notice to us.

You should verify all event details (dates, venues, registration fees, etc.) directly with the event organizer before making any plans or payments.

All event data provided on RaceKit are for informational purposes only, and your reliance on such data is at your own risk.

7. Prohibited Conduct

By using RaceKit, you agree not to:

  1. Use RaceKit for any illegal purpose or in violation of any local, national, or international law.
  2. Attempt to access parts of our infrastructure, code, or database that are not publicly available.
  3. Circumvent, disable, or otherwise interfere with security-related features of RaceKit.
  4. Use automated means (bots, scrapers, etc.) to access, monitor, or copy any content from RaceKit without prior written consent.
  5. Impersonate any person or misrepresent your affiliation with any person or entity.

8. Links to Third-Party Sites

RaceKit may include links or embedded content from third-party websites (for example, Google Maps for venue locations). Those links are provided for convenience; we do not control and are not responsible for their content, availability, or policies. Your interactions with those third-party sites are subject to their own terms and privacy policies.

9. Privacy & Data Collection

RaceKit does not collect any personal information from visitors (no sign-ups, no user-uploaded profiles).

We may gather non-identifiable usage data (e.g., page views, browser type, IP address) through analytics tools to monitor site performance and improve functionality. Such data is collected in accordance with our Privacy Policy, which can be found at racekit.org/privacy.

By using RaceKit, you consent to the collection and use of technical information as described above.

10. Limitation of Liability

IN NO EVENT SHALL GILI SOFTWARE OPC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF, OR INABILITY TO USE, RACEKIT;
  • ANY ERRORS, INACCURACIES, OR OMISSIONS IN THE AGGREGATED EVENT INFORMATION;
  • ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF RELIANCE ON ANY INFORMATION PROVIDED THROUGH RACEKIT.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF RACEKIT IS LIMITED TO ONE HUNDRED DOLLARS (USD 100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Gili Software OPC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • (a) Your use of RaceKit;
  • (b) Your violation of these Terms; or
  • (c) Any misrepresentation you make in connection with RaceKit.

12. Termination

Since RaceKit is freely accessible and does not require registered accounts, we do not “terminate” individual user accounts. However, Gili Software OPC reserves the right to modify, suspend, or discontinue access to RaceKit (or any portion thereof) at any time, with or without notice, for any reason. We also reserve the right to block specific IP addresses or ranges if we suspect abuse or unauthorized activity.

13. Modifications to Terms

We may update these Terms at any time. When we do, we will post the revised version at racekit.org/terms and update the “Last updated” date above. Your continued use of RaceKit after any such modifications constitutes acceptance of the updated Terms.

14. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Metro Manila, Philippines, and you consent to personal jurisdiction and venue there.

15. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

16. Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Any failure by Gili Software OPC to enforce any right or provision under these Terms shall not constitute a waiver of future enforcement of that right or provision.
